1. Introduction and Acceptance
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Volosoft Bilisim Anonim Sirketi (“Volosoft”, “we”, “us”, “our”), a company incorporated under the laws of the Republic of Turkey, governing your access to and use of the Daily Talking mobile application and all related services (collectively, the “Service”).
By creating an account, downloading, installing, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” and “your” will refer to that organization.
2. Definitions
In these Terms, the following words and expressions have the meanings set out below:
- “Service” means the Daily Talking mobile application (available on iOS, Android, and web), its backend infrastructure, APIs, websites, and any related services, features, or content provided by Volosoft.
- “User”, “you”, “your” means the individual person who accesses or uses the Service, or the legal entity on whose behalf such individual is acting.
- “Volosoft”, “we”, “us”, “our” means Volosoft Bilisim Anonim Sirketi, the provider and operator of the Service.
- “Account” means the personal account created by a User to access and use the Service.
- “Content” means any data, text, voice recordings, audio, images, profile information, messages, transcripts, or other materials that are submitted, posted, transmitted, generated, or otherwise made available through the Service.
- “User Content” means Content that is created, submitted, or provided by Users, including but not limited to profile information, voice during live sessions, messages (direct and group), chat messages, and any other materials contributed by Users.
- “Group” means a language practice group created within the Service where Users can interact and participate in sessions.
- “Session” means a scheduled or live voice-based conversation event within a Group.
- “Subscription” means a recurring paid plan (e.g., Plus) or free trial that grants the User access to certain features and usage limits within the Service.
- “Credits” means usage units that may be purchased or granted to Users and consumed when using certain premium features of the Service (e.g., speech-to-text subtitles).
- “In-App Purchase” means any purchase made within the Service through a third-party platform (e.g., Apple App Store, Google Play Store), including Subscriptions and Credit packs.
- “Privacy Policy” means the Volosoft privacy policy applicable to the Service, as updated from time to time, which describes how we collect, use, and share personal data.
3. Eligibility
3.1 Age Requirement
You must be at least eighteen (18) years of age to create an Account and use the Service. By creating an Account, you represent and warrant that you are at least 18 years old. We verify age during the onboarding process and may request additional verification at any time.
If we discover or reasonably believe that a User is under 18 years of age, we reserve the right to immediately suspend or terminate that User’s Account and delete associated data without prior notice.
3.2 Legal Capacity
You represent and warrant that you have the legal capacity and authority to enter into a binding contract in your jurisdiction of residence. If you are using the Service on behalf of a legal entity, you represent that you are authorized to accept these Terms on that entity’s behalf.
3.3 Jurisdictional Compliance
The Service may not be available or appropriate for use in all countries or jurisdictions. You are solely responsible for ensuring that your use of the Service complies with all applicable local, national, and international laws and regulations. Volosoft makes no representation that the Service is appropriate or available for use in any particular jurisdiction.
4. Account Registration and Security
4.1 Account Creation
To use the Service, you must create an Account. Account registration is available through the following methods:
- Social login via Apple, Google, or Microsoft authentication providers.
- Phone authentication via SMS verification.
During registration, you will be required to provide certain information, including but not limited to a username, display name, country, timezone, birth year, and language preferences. You may also optionally provide additional profile details such as gender, email address, biography, and interests.
4.2 Accuracy of Information
You agree to provide accurate, current, and complete information during registration and throughout your use of the Service. You agree to update your information promptly if it changes. Volosoft reserves the right to suspend or terminate Accounts that contain materially inaccurate, outdated, or incomplete information.
4.3 Account Security
You are responsible for maintaining the confidentiality and security of your Account credentials and for all activities that occur under your Account. You agree to:
- Not share your Account credentials with any third party.
- Not allow any other person to access or use your Account.
- Notify Volosoft immediately upon becoming aware of any unauthorized access to or use of your Account or any other breach of security.
Volosoft shall not be liable for any loss or damage arising from your failure to comply with this section.
4.4 One Account Per Person
Each User may maintain only one (1) active Account. Creating multiple Accounts is prohibited and may result in the suspension or termination of all associated Accounts.
5. Description of the Service
5.1 Overview
Daily Talking is a language practice platform designed to help users improve their speaking skills through real-time, voice-based group conversations. The Service enables Users to:
- Create and join Groups focused on specific languages and proficiency levels.
- Schedule and participate in live voice Sessions within Groups.
- Send direct messages and manage friendships with other Users.
- Use in-session features such as real-time chat, speech-to-text (STT) subtitles and translation, and trivia games.
- View session analytics including AI-generated topic summaries and personal speaking metrics after Sessions end.
- Manage their profile, including languages spoken, proficiency levels, interests, and availability status.
5.2 Subscription Tiers and Feature Limits
Certain features and usage limits within the Service depend on your Subscription tier. Details of available plans (e.g., Free Trial, Plus) and their respective features and limits are described within the app. Examples of limits that may vary by Subscription tier include, but are not limited to:
- Number of Groups you can create or join.
- Maximum Session duration.
- Monthly speech-to-text (STT) usage quota.
- Number of spoken languages you can add to your profile.
- Access to advanced Group settings (e.g., proficiency restrictions).
5.3 Changes to the Service
Volosoft reserves the right to modify, update, add to, or discontinue any part of the Service at any time, with or without notice. Where feasible, we will provide reasonable advance notice of material changes through in-app notifications, email, or other appropriate means. Continued use of the Service after such changes constitutes your acceptance of the modified Service.
6. User Conduct and Acceptable Use
6.1 General Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct and any Content you submit, post, or transmit through the Service.
6.2 Prohibited Conduct
You agree not to engage in any of the following prohibited activities while using the Service:
a) Harassment and Abuse
- Harassing, bullying, intimidating, or threatening other Users.
- Stalking or repeatedly contacting a User who has asked you to stop.
- Engaging in any form of personal attacks or targeted abuse.
b) Hate Speech and Discrimination
- Promoting hatred, violence, or discrimination against individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other protected characteristic.
c) Sexual and Inappropriate Behavior
- Engaging in sexually explicit, suggestive, or inappropriate behavior during Sessions or in messages.
- Sharing or soliciting sexually explicit content.
d) Spam, Fraud, and Deception
- Sending unsolicited commercial messages, spam, or advertising.
- Engaging in fraud, scams, phishing, or any form of deception.
- Impersonating another person, entity, or Volosoft representative.
- Creating fake or misleading profiles.
e) Minors and Safety
- Using the Service to exploit, harm, or endanger minors in any way.
- Attempting to contact or interact with individuals under 18 years of age through the Service.
f) Intellectual Property and Privacy
- Infringing on the intellectual property rights of Volosoft or any third party.
- Violating the privacy rights of other Users, including sharing personal information without consent.
- Recording Sessions or conversations without the knowledge and consent of all participants, except as otherwise permitted by applicable law.
g) Technical Abuse
- Attempting to circumvent, disable, or interfere with technical or usage limits of the Service.
- Using bots, scrapers, automated scripts, or other automated means to access or interact with the Service.
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Service, except where such restriction is prohibited by applicable law.
- Introducing viruses, malware, or any harmful code into the Service.
- Interfering with or disrupting the integrity or performance of the Service or its infrastructure.
h) Other Prohibited Activities
- Using the Service for any illegal purpose or in violation of any applicable law or regulation.
- Attempting to gain unauthorized access to other Users’ Accounts, the Service’s systems, or any networks connected to the Service.
- Encouraging or assisting any other person in engaging in any of the prohibited activities listed above.
6.3 Reporting and Enforcement
Users may report other Users or Groups that they believe violate these Terms. Reports can be submitted through the in-app reporting feature. Reports may include categories such as harassment, sexual behavior, hate speech, spam or fraud, underage or safety concerns, and other violations.
Volosoft reserves the right, but is not obligated, to:
- Review, investigate, and act upon reports of violations.
- Remove, disable, or restrict access to any Content that violates these Terms.
- Issue warnings to Users who violate these Terms.
- Temporarily suspend or permanently terminate the Accounts of Users who violate these Terms.
- Report illegal activities to the appropriate law enforcement authorities.
- Take any other action we deem necessary to protect the safety and integrity of the Service and its Users.
Volosoft does not undertake to monitor all Content or conduct on the Service. You acknowledge that other Users’ Content and behavior are not endorsed, verified, or guaranteed by Volosoft.
6.4 Blocking
You may block other Users to prevent them from interacting with you through the Service. Blocking may affect the blocked User’s ability to see your profile, send you messages, or join Groups you own, as described in the app.
7. Content and Intellectual Property
7.1 User Content — Ownership and License
You retain ownership of your User Content. However, by submitting, posting, or transmitting User Content through the Service, you grant Volosoft a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, store, process, reproduce, modify, adapt, display, distribute, and otherwise exploit your User Content solely as necessary to:
- Operate, maintain, and improve the Service.
- Process voice data during Sessions to generate transcripts and AI-powered session analytics (e.g., topic identification, speaking time metrics).
- Moderate Content and enforce these Terms.
- Provide customer support.
- Comply with legal obligations.
This license continues for as long as your User Content is stored on the Service and for a reasonable period thereafter to allow for backup and archival purposes, unless earlier deletion is required by law or requested by you through Account deletion.
7.2 Voice Data and Transcripts
When you participate in live Sessions, your voice may be processed in real time and after the Session to:
- Provide speech-to-text (STT) subtitles to Session participants.
- Translate speech into participants’ preferred languages.
- Generate post-Session analytics, including AI-generated topic summaries and individual speaking metrics.
Voice data is processed and retained in accordance with our Privacy Policy. Transcripts and analytics are derived works and may be retained as part of Session history for a limited period as described in the Privacy Policy.
7.3 Content Moderation
Volosoft may moderate User Content, including Group messages and profiles, to enforce these Terms. In certain Groups, new members’ messages may require approval by Group owners or moderators before being visible to other members.
7.4 Volosoft Intellectual Property
The Service, including but not limited to its software, design, user interface, branding, logos, trademarks, text, graphics, and any Content created or provided by Volosoft, is owned by Volosoft or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in the Service or Volosoft’s intellectual property, except for the limited right to use the Service in accordance with these Terms.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service or any part thereof, except as expressly permitted by these Terms or by applicable law.
7.5 Feedback
If you provide Volosoft with any suggestions, feedback, ideas, or improvements regarding the Service (“Feedback”), you grant Volosoft an unrestricted, irrevocable, perpetual, royalty-free license to use, implement, modify, and commercialize such Feedback in any manner and for any purpose, without obligation or compensation to you.
8. Privacy and Data
8.1 Privacy Policy
The collection, use, storage, and sharing of your personal data in connection with the Service are governed by our Privacy Policy, which is available within the app and on our website. The Privacy Policy is incorporated into these Terms by reference.
By using the Service, you acknowledge and consent to the data practices described in the Privacy Policy, including but not limited to:
- Processing of voice data for transcription, translation, and analytics purposes.
- Use of push notifications to deliver Service-related alerts.
- Automated cleanup and deletion of certain data (e.g., read notifications after 1 day, unread notifications after 15 days, group and session messages after 30 days).
- Use of analytics services to understand and improve the Service.
8.2 Data Processing and Transfers
Your data may be processed in Turkey and in other countries where Volosoft or its service providers operate. Where applicable, data processing complies with the Turkish Personal Data Protection Law (KVKK, Law No. 6698) and, for Users in the European Economic Area, the General Data Protection Regulation (GDPR). For more details, please refer to our Privacy Policy.
8.3 Children’s Data
The Service is not directed to individuals under 18 years of age. We do not knowingly collect personal data from children under 18. If we become aware that we have collected personal data from a child under 18, we will take steps to delete such data promptly.
9. Subscriptions and Payments
9.1 Subscription Plans
The Service may offer various Subscription plans, including a Free Trial and paid tiers (e.g., Plus). The features, limits, pricing, and duration of each plan are described within the app and may be updated from time to time. Your access to certain features of the Service depends on your active Subscription plan.
9.2 Free Trial
New Users may be eligible for a Free Trial that provides access to certain features for a limited period. Trial eligibility, duration, and available features are determined by Volosoft and may change at any time. If you do not subscribe to a paid plan before the trial expires, your access to premium features will be restricted.
9.3 Billing and Payment
Paid Subscriptions are purchased and processed through third-party platforms, including but not limited to the Apple App Store and Google Play Store. All payments are subject to the terms and conditions of the applicable platform. Volosoft does not directly process payment card information.
Prices for Subscriptions are displayed within the app or on the applicable platform in the relevant currency. Volosoft reserves the right to change Subscription prices at any time. Price changes will apply to future billing periods and will not affect your current active Subscription period.
9.4 Automatic Renewal
Unless otherwise stated, paid Subscriptions automatically renew at the end of each billing period (e.g., monthly or annually) at the then-current price, unless cancelled before the end of the current period. Renewal charges will be billed to the payment method associated with your platform account.
9.5 Cancellation
You may cancel your Subscription at any time through:
- Your device’s subscription management settings (iOS Settings or Google Play Store).
- The subscription management page of the applicable platform.
Cancellation takes effect at the end of the current billing period. You will continue to have access to your Subscription benefits until the end of that period. No partial refunds are provided for the unused portion of a billing period upon cancellation.
9.6 Effects of Subscription Expiry
When your Subscription expires or is cancelled and the current period ends, the following may occur:
- Your access to premium features will be restricted.
- You may be removed from Groups that exceed the free tier’s membership limits.
- Ownership of Groups you own may be transferred to an eligible moderator or active member. If no eligible member is found, the Group may be archived.
- Credits associated with your Account may be frozen and will not be usable until a Subscription is reactivated. Credits are not deleted upon Subscription expiry.
9.7 Refunds
Refund requests for Subscriptions and In-App Purchases are handled in accordance with the refund policies of the applicable platform (Apple App Store or Google Play Store). Volosoft does not independently process refunds for purchases made through third-party platforms.
If a refund is granted by the platform, Volosoft may adjust your Subscription status and associated Credits accordingly.
9.8 Promotional Offers
Volosoft may, from time to time, offer promotional pricing, discounts, or special offers. Such offers are subject to their specific terms and conditions, which will be communicated at the time of the offer. Volosoft reserves the right to modify or withdraw promotional offers at any time.
10. Credits and In-App Features
10.1 Credits
Certain premium features within the Service, such as speech-to-text (STT) subtitle usage, may consume Credits or usage quotas. Credits may be:
- Granted as part of your Subscription plan (resetting at the start of each billing period).
- Purchased separately as In-App Purchases (Credit packs).
10.2 Nature of Credits
Credits are a limited, personal, non-transferable, non-exchangeable, and (except where required by applicable law or platform policy) non-refundable license to access specific features of the Service. Credits do not constitute currency, property, or any stored value and have no value outside the Service.
10.3 Credit Expiry and Freezing
- Credits granted through a Subscription reset at the beginning of each billing period. Unused Subscription-granted Credits do not roll over.
- Purchased Credits do not expire as long as your Subscription remains active.
- If your Subscription expires, purchased Credits will be frozen and become unusable. They will become available again if you reactivate a Subscription.
- Credits may be forfeited if your Account is terminated for breach of these Terms.
10.4 In-App Purchases
All In-App Purchases (including Credit packs) are processed through the applicable platform (Apple App Store or Google Play Store) and are subject to that platform’s terms and conditions. By making an In-App Purchase, you agree to the applicable platform’s payment and refund terms.
11. Third-Party Services
11.1 Use of Third-Party Services
The Service relies on and integrates with various third-party services to provide its functionality, including but not limited to:
- Authentication providers (Apple, Google, Microsoft) for Account sign-in.
- Firebase for phone authentication and push notification delivery.
- Voice and video infrastructure for live Session audio communication.
- Speech-to-text and translation services for generating subtitles and translations during Sessions.
- Payment processing platforms (Apple App Store, Google Play Store) for Subscriptions and In-App Purchases.
- Analytics and performance monitoring tools to understand usage patterns and improve the Service.
11.2 Third-Party Terms
Your use of third-party services accessed through or in connection with the Service may be subject to those third parties’ own terms of service and privacy policies. Volosoft encourages you to review those terms.
11.3 Disclaimer
Volosoft is not responsible for the availability, accuracy, content, security, or practices of any third-party services. Volosoft does not endorse and shall not be held liable for any loss or damage arising from your use of or reliance on any third-party services.
12. Termination
12.1 Termination by You
You may stop using the Service at any time. You may also delete your Account through the Settings screen within the app. Upon Account deletion:
- Your profile, personal data, and associated Content will be removed in accordance with our Privacy Policy and applicable data retention obligations.
- Active Subscriptions must be cancelled separately through the applicable platform (Apple App Store or Google Play Store); Account deletion alone does not cancel platform billing.
- Any remaining Credits will be forfeited.
- Group ownership may be transferred to an eligible member or the Group may be archived, as described in Section 9.6.
12.2 Termination by Volosoft
Volosoft reserves the right to suspend, restrict, or permanently terminate your Account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to:
- Violation of these Terms or any applicable law or regulation.
- Conduct that is harmful, abusive, or disruptive to the Service, other Users, or Volosoft.
- Fraudulent, deceptive, or illegal activity.
- Extended inactivity, as determined by Volosoft.
- Operational, technical, or legal reasons.
Where practicable and permitted by law, Volosoft will provide notice and an explanation before or at the time of termination. However, Volosoft reserves the right to take immediate action without prior notice where necessary to protect the safety, integrity, or security of the Service or its Users.
12.3 Effect of Termination
Upon termination of your Account, whether by you or by Volosoft:
- Your right to access and use the Service immediately ceases.
- Any licenses granted to you under these Terms are immediately revoked.
- Volosoft may delete your Account data in accordance with the Privacy Policy and applicable retention requirements.
- Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 7 (Content and Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 16 (Dispute Resolution and Governing Law), and 18 (General Provisions).
13. Disclaimers
13.1 “As Is” and “As Available”
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOLOSOFT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
13.2 No Guarantee of Availability
Volosoft does not warrant that the Service will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. The Service may be subject to temporary outages, maintenance periods, or disruptions that are beyond Volosoft’s reasonable control.
13.3 Language Practice — Not Professional Education
The Service is intended for informal language practice and social interaction among Users. It is not a substitute for formal language education, professional instruction, tutoring, certification, or academic assessment. Volosoft does not guarantee any specific learning outcomes, language proficiency improvements, or educational results from using the Service.
13.4 User Interactions
Volosoft does not verify the identity, background, qualifications, or intentions of Users. You interact with other Users at your own risk. Volosoft does not guarantee the quality, accuracy, safety, or appropriateness of any User Content or User conduct. Volosoft is not responsible for any disputes, damages, or harm arising from interactions between Users, whether during Sessions, through messages, or otherwise.
13.5 AI-Generated Content
Certain features of the Service use artificial intelligence to generate Content, such as session topic summaries, speaking metrics, and trivia questions. AI-generated Content is provided for informational and entertainment purposes only and may contain errors, inaccuracies, or omissions. Volosoft does not guarantee the accuracy, completeness, or reliability of any AI-generated Content.
14. Limitation of Liability
14.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOLOSOFT, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, business opportunities, data, or goodwill.
- Cost of procurement of substitute services.
- Damages arising from or related to unauthorized access to, alteration of, or loss of your data or Content.
- Damages arising from interactions with other Users or third parties.
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT VOLOSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOLOSOFT’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The total amount paid by you to Volosoft (directly, not through third-party platforms) for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or
- One hundred United States dollars (USD 100).
14.3 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of damages. In such jurisdictions, Volosoft’s liability shall be limited to the maximum extent permitted by the applicable law of that jurisdiction. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Volosoft and its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising out of or related to:
- Your use of or access to the Service.
- Your User Content, including any claims that your User Content infringes or violates the rights of any third party.
- Your breach of these Terms or any representation or warranty made herein.
- Your violation of any applicable law, regulation, or third-party rights.
- Your interactions with other Users of the Service.
Volosoft reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with Volosoft in asserting any available defenses.
16. Dispute Resolution and Governing Law
16.1 Governing Law
These Terms and any dispute arising out of or in connection with these Terms or the Service shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of laws principles.
16.2 Jurisdiction
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Istanbul, Republic of Turkey.
16.3 Consumer Protection
If you are a consumer residing in the European Union or European Economic Area, nothing in these Terms shall affect your rights under mandatory consumer protection laws of your country of residence. In the event of a conflict between these Terms and applicable mandatory consumer protection laws, the mandatory consumer protection laws shall prevail.
16.4 Individual Dispute Resolution
To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. If this provision is found to be unenforceable in your jurisdiction, then the entirety of this Section 16.4 shall be null and void.
17. Changes to These Terms
17.1 Right to Update
Volosoft reserves the right to modify, amend, or replace these Terms at any time. The updated Terms will be posted within the app and, where applicable, on our website, with the “Last Updated” date revised accordingly.
17.2 Notification of Material Changes
For material changes to these Terms, Volosoft will make reasonable efforts to provide advance notice through one or more of the following methods:
- An in-app notification or prominent banner.
- An email to the address associated with your Account (if provided).
- A push notification.
Material changes will take effect no earlier than thirty (30) days after the notice is provided, unless the change is required to address a legal obligation, safety issue, or security concern, in which case it may take effect immediately.
17.3 Acceptance of Changes
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your Account as described in Section 12.1. It is your responsibility to review the Terms periodically.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and Volosoft regarding the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the parties’ original intent.
18.3 No Waiver
The failure of Volosoft to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Volosoft.
18.4 Assignment
Volosoft may assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, to any third party without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign, transfer, or delegate your rights or obligations under these Terms without Volosoft’s prior written consent.
18.5 Force Majeure
Volosoft shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemics, internet or telecommunications failures, power outages, or labor disputes.
18.6 Language
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency or conflict between the English version and the translated version.
18.7 Headings
The section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
18.8 Relationship of the Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Volosoft. You and Volosoft are independent parties.
